This business plan (the “Plan”) has been prepared by Ikusasa Grain Mills (Pty) Ltd (“Ikusasa” or the “Company”) to provide prospective funders, development finance institutions and investors with information about the Company and its proposed maize milling and grain processing enterprise. It is illustrative and does not constitute an offer to sell or a solicitation of an offer to purchase securities in any jurisdiction.

The Company’s throughput, revenue, maize cost, conversion cost, overheads, EBITDA, depreciation, interest and net profit are preserved as prepared by the directors. The senior debt amortisation schedule, debt-service coverage on three bases, per-tonne economics, extraction and pass-through sensitivity, working capital adequacy, break-even and investor returns beneath those figures have been independently re-derived by the analyst and are presented in Sections 15 through 19.

Financial projections are forward-looking statements based on assumptions the directors consider reasonable at the date of preparation. Maize milling is a thin-margin, commodity-exposed business in which the raw material represents the large majority of the cost base and its price is volatile. Actual results may differ materially. Commodity prices, product prices, extraction benchmarks and conversion costs are drawn from public sources and industry experience current to July 2026 and must be independently verified in due diligence.

This analysis identifies several matters bearing directly on the funding decision, principally the assumption that the gross processing margin is held constant across the projection, the level of working capital available at peak grain stock, and the basis on which debt-service coverage is stated. These are set out plainly rather than smoothed, because an agro-processing credit committee will test each of them.

NoteOn the figures in this plan

The Company’s model is unusually well disclosed. The senior debt service of R3.16 million reconciles precisely to R16.0 million amortised at 11.5% following a twelve-month capital moratorium, and the Year-1 interest-only figure of R1.84 million follows exactly. The per-tonne unit economics reconcile to the annual projections to the rand in Year 1. The extraction sensitivity of R0.55 million per percentage point is confirmed by independent calculation. Most notably, the Plan states its exit assumption, 5.5 times Year-5 EBITDA, which allows the stated equity return to be tested; on that basis the re-derived return is 3.69 times and 29.8%, against the stated 3.5 times and 29.7%. Very few plans of this kind can be reconciled that closely. The findings that follow concern the durability of one central assumption and the adequacy of two facilities, not the integrity of the arithmetic.
