This document (the “Business Plan”) has been prepared by Jive Monate Tavern & Shisanyama (Pty) Ltd (the “Company” or “Jive Monate”) to assist prospective lenders, development-finance institutions, private-equity and angel investors in evaluating a possible participation in the funding of the Company. It does not constitute an offer, invitation or recommendation to subscribe for or purchase any securities, nor shall it form the basis of any contract or investment decision.
The financial projections are forward-looking. Headline revenue reflects the sponsor’s commercial projections and is preserved exactly. The full profit and loss, cash flow and balance sheet beneath revenue, gross margin, the venue’s operating costs, component depreciation, interest on the term loan, and South African corporate taxation, have been independently re-derived by the analyst on a stated set of assumptions. The balance sheet ties to zero in every year by construction and is machine-verified. Where the re-derivation surfaces material findings, these are disclosed transparently in Section 18 rather than smoothed. Actual results may differ materially.
The Company will trade as a licensed liquor outlet. Its ability to operate depends on obtaining and maintaining a valid liquor licence and complying at all times with applicable liquor, health, safety and municipal regulation. Prospective funders should treat licensing and regulatory compliance as a condition precedent to funding, and should satisfy themselves independently in due diligence.
By accepting this Business Plan, the recipient agrees to keep its contents confidential and to use it solely for the purpose stated above. Market statistics are directional estimates from public industry sources current to mid-2026 and should be re-verified in due diligence.
Revenue is preserved exactly as briefed. The rest of the financial model is independently re-derived: a full hospitality profit and loss is built from a realistic blended gross margin and the venue’s operating costs, including full-service staffing, entertainment, security, licensing and compliance, and net profit is calculated after component depreciation, interest on the R3.2 million funding package, and 27% South African corporate tax. Because a full-service licensed venue carries a heavier fixed-cost base than the sponsor’s illustration assumes, the re-derived EBITDA margin ramps toward, rather than starts at, the sponsor’s 29% target, and re-derived net profit runs below the sponsor’s figures. Independent findings are surfaced honestly in Section 18.
