This business plan (the “Plan”) has been prepared by Kopanong Business Hub (Pty) Ltd (“Kopanong” or the “Company”) to provide prospective funders and investors with information about the Company and its proposed flexible workspace, print and business services enterprise. It is illustrative and does not constitute an offer to sell or a solicitation of an offer to purchase securities in any jurisdiction.

The Company’s revenue, cost lines, EBITDA, depreciation, interest, cash flow and balance sheet are preserved as prepared by the directors. The breakeven analysis, debt-service coverage on a cash basis, the desks-only comparison, working capital adequacy, revenue yield by zone and investor returns beneath those figures have been independently re-derived by the analyst and are presented in Sections 15 through 19.

Financial projections are forward-looking statements based on assumptions the directors consider reasonable at the date of preparation. The business carries a long-term lease obligation against short-term membership revenue, and its returns depend materially on the speed at which occupancy builds. Actual results may differ materially. Rental rates, rate cards, print volumes and fit-out costs must be independently verified in due diligence.

This analysis identifies several matters bearing directly on the funding decision, principally debt-service coverage in Year 3 on a cash basis, the adequacy of the working capital allocation through the ramp, the derivation of the desks-only breakeven comparison, and the tension between the Plan’s stated rationale for its lease concessions and the actual condition of the Rosebank submarket. These are set out plainly rather than smoothed.

Confidentiality: this document is provided on a strictly confidential basis and may not be reproduced or distributed without the prior written consent of the Company.

NoteOn the figures in this plan

Two things reconcile exactly and deserve to be said first. The mature monthly revenue of R1,010,100 is reproduced precisely from the stated desk counts, occupancy rates and rate card, 48 private office desks at 88% and R5,600, 60 dedicated desks at 85% and R3,400, 40 hot desks at 70% and R1,900, plus the ancillary streams. And the headline breakeven of 27% desk occupancy follows exactly: R583,000 of monthly fixed cost less R435,000 of ancillary contribution leaves R148,000 to be covered by desks, against R548,800 of desk revenue at full occupancy. The central claim of this Plan is arithmetically sound. The findings that follow concern coverage, funding adequacy and one comparison whose derivation is not shown.
