Company and Business Overview

Jump to section

A special-purpose operating company formed to hold the mining right, build the quarry and sell aggregate under long-term supply relationships across the corridor.

Structure, ownership and governance

Magalies Quarry Company (Pty) Ltd is a South African private company established as the single-asset vehicle for the project. The illustrative ownership contemplates a founding operating partner and management team holding meaningful equity alongside institutional and development-finance investors, with a broad-based black economic empowerment (B-BBEE) shareholding consistent with Mining Charter expectations. A board with independent non-executive representation, an audit-and-risk committee and a social-and-ethics committee provides governance proportionate to a funded, permitted mining operation.

How capital converts to returns

The operating logic is a simple, capital-intensive conversion chain: equity and debt fund a permitted resource and a processing plant; the plant converts rock into graded stone, manufactured sand and road-layer materials; local customers buy delivered product within the haulage radius; sales generate EBITDA and cash; cash deleverages the business and, at exit, is capitalised at a market EBITDA multiple into equity value.
