PowerWorks Force Green Energy (Pty) Ltd is a private company registered in South Africa and constituted as a special-purpose Independent Power Producer. Its registered office is at Prieska in the Northern Cape, within the renewable energy corridor where the project will be built. The company’s sole purpose is to develop, finance, construct, own and operate the 100 MWac solar photovoltaic and battery storage facility described in this plan, a single-asset structure that is standard in project finance because it ring-fences project cash flows and security for the benefit of lenders.
Vision and mission
The vision is to become one of South Africa’s leading independent renewable energy producers, supplying affordable, reliable and sustainable electricity. The mission is to accelerate South Africa’s energy transition by developing world-class renewable energy infrastructure that delivers long-term value to investors, communities and electricity consumers.

The founding team combines the three capabilities a utility-scale IPP requires. Thabo Nkosi, Chief Executive Officer, is a former renewable energy executive with more than eighteen years of infrastructure development experience and leads strategy, offtake origination and stakeholder relations. Lindiwe Naidoo, Finance Director, is a Chartered Accountant specialising in project finance and infrastructure investment, and leads financial structuring, lender relations and financial control, a critical role in a transaction of this scale and complexity. Michael van der Merwe, Technical Director, is an electrical engineer who has delivered more than 800 MW of renewable energy projects across Southern Africa, and leads engineering, EPC management, grid interface and technical performance.

Governance framework
A project financed on a limited-recourse basis operates within a governance structure defined largely by its finance documents. The board will be accountable for delivery against the common terms agreement, including reporting covenants, distribution lock-up tests, reserve account maintenance and permitted-payment conditions. An independent engineer will be appointed by the lenders to certify construction progress and drawdowns; an independent insurance adviser and model auditor will review the financial model at close. The Finance Director’s professional accounting background is a genuine strength in this environment, where covenant compliance and lender reporting are continuous obligations rather than periodic events.
