This document (the “Business Plan”) has been prepared by PowerWorks Force Green Energy (Pty) Ltd (the “Company” or “PowerWorks Force”) to assist prospective senior lenders, development-finance institutions, infrastructure funds and equity investors in evaluating a possible participation in the financing of the 100 MWac solar photovoltaic and battery energy storage project described herein. It does not constitute an offer, invitation or recommendation to subscribe for or purchase any securities, nor shall it form the basis of any contract or investment decision.

The financial projections are forward-looking. Headline revenue and EBITDA reflect the sponsor’s commercial projections and are preserved exactly. The operating-cost structure implied by those projections, and everything beneath EBITDA, component depreciation, senior-debt interest, and South African corporate taxation including the Section 12B accelerated renewable-energy allowance, have been independently derived and re-derived by the analyst on a stated set of assumptions. A full twenty-five-year project cash flow has been constructed to test project and equity returns, debt-service coverage and replacement capital expenditure. The balance sheet ties to zero in every year by construction and is machine-verified.

This analysis identifies several material internal inconsistencies in the sponsor’s stated figures, together with omissions from the proposed capital budget. These are disclosed transparently in Sections 15, 16 and 18 rather than smoothed, because they bear directly on bankability. Actual results may differ materially from the projections presented.

The Project’s viability depends on securing and retaining firm grid connection capacity, obtaining all regulatory approvals including NERSA licensing and environmental authorisation, and concluding long-term power purchase agreements with creditworthy offtakers. Prospective funders should treat each of these as a condition precedent and should satisfy themselves independently in due diligence.

NoteOn the figures in this plan

Revenue and EBITDA are preserved exactly as briefed. The analyst has derived the operating cost base those figures imply, tested it against the sponsor’s own stated operating expenditure, and independently re-derived everything beneath EBITDA, component depreciation on the R2.25 billion depreciable asset base, interest on the R1.70 billion senior facility, and 27% corporate tax with the Section 12B accelerated allowance. A twenty-five-year cash flow underpins the returns and coverage analysis. The work surfaces three internal inconsistencies in the sponsor’s figures, in operating expenditure, debt-service coverage and target returns, which point consistently in the same direction and are set out in Sections 15 and 18.
