This business plan (the “Plan”) has been prepared in respect of Sable Grid Storage (Pty) Ltd (“Sable” or the “Company”) and its flagship asset, Project Sizanani, solely to provide prospective equity investors, senior lenders and development-finance institutions with information about the Company and the proposed battery energy storage facility. It is illustrative and does not constitute an offer to sell or a solicitation of an offer to purchase securities in any jurisdiction.
Headline revenue, operating cost, capital budget and funding structure reflect the sponsor’s projections and are preserved. The debt schedules, depreciation, taxation, cash flow available for debt service, coverage ratios, distributions, balance sheet and returns beneath those figures have been independently re-derived by the analyst on a stated set of assumptions, and extended to a twenty-year horizon spanning the fifteen-year contracted term and a five-year re-contracting tail. The balance sheet ties to zero in every year by construction and is machine-verified.
This analysis identifies a number of matters that bear directly on bankability, including the structure of the procurement programme on which the primary revenue route depends, the basis on which debt-service cover and returns are stated, the classification of subordinated funding within the stated gearing, the adequacy of the maintenance reserve, and the availability of accelerated capital allowances. These are disclosed transparently in Sections 15 to 19 rather than smoothed.
The Company has not yet been awarded a capacity agreement. Revenue projections assume success in a competitive procurement process the Company does not control. Prospective funders should treat award of the anchor offtake, together with grid connection and regulatory approvals, as conditions precedent, and should obtain their own professional advice before making any investment decision. Recipients agree to keep this Plan confidential and not to reproduce or distribute it without the Company’s prior written consent.
The sponsor’s financial model is unusually well constructed: senior debt service of R205 million per annum reconciles precisely to R1.435 billion over fifteen years at 11.5%, revenue ties to the stated capacity tariff, and EBITDA, depreciation and the balance sheet are internally consistent. The analyst has preserved those inputs and re-derived the structure beneath them, extending the projection to twenty years and testing coverage, reserves, tax treatment and returns on a consistent basis. Where the re-derivation produces a different answer from the headline figures, principally in the definition of debt-service cover, the treatment of mezzanine funding within gearing, and the basis on which the equity return is measured, the difference is quantified and explained rather than reconciled away.
