Golden Fields Wheat Farming (Pty) Ltd is structured as a South African private company to be incorporated under the Companies Act, 2008 (Act No. 71 of 2008). The Company will be a vertically integrated agribusiness entity focused primarily on commercial wheat cultivation, with secondary revenue streams from grain storage services and forward contract management.

The business model encompasses the full production value chain from land preparation and planting through to harvest, storage, and market delivery. The Company’s operations will be based across two primary production regions: the Western Cape province, leveraging the established winter-rainfall wheat belt, and the Free State province, where irrigation infrastructure enables consistently high yields. This dual-region strategy provides geographic diversification against localised weather risks.

2.5 Legal Structure & Governance

The Company will be governed by a Board of Directors comprising executive management, independent non-executive directors with agricultural and financial expertise, and investor-nominated representatives. Governance practices will align with the King IV Report on Corporate Governance for South Africa, including establishment of an Audit and Risk Committee, a Remuneration Committee, and a Social and Ethics Committee.

The shareholding structure will accommodate both founding management equity (minimum 15%) and institutional investor participation, with provisions for preferential returns, anti-dilution protections, and tag-along/drag-along rights as appropriate for a growth-stage agricultural enterprise. B-BBEE ownership requirements under the Agri-BEE Sector Code will be incorporated into the equity structure from inception.
