9.2 Organisational Structure
The organisational structure is designed for scalability, with a lean head-office function supporting decentralised field operations. At full scale (5,000 hectares), the Company will employ approximately 45–60 permanent staff organised across four functional areas: Operations (farm managers, machine operators, irrigation technicians), Agronomy (crop scouts, soil technicians, data analysts), Finance & Administration (accounting, procurement, compliance), and Commercial (commodity trading, logistics, customer management).
9.3 Board of Directors
The Board will comprise a minimum of five directors: the CEO and CFO as executive directors, two independent non-executive directors (one with agricultural expertise, one with financial/investment expertise), and one investor-nominated director. The Board will meet quarterly and will be supported by three sub-committees: Audit and Risk, Remuneration, and Social and Ethics. Independent directors will be remunerated through a combination of annual retainer fees and meeting attendance fees, in line with market practice for companies of comparable size and complexity.
9.4 Advisory Board
The Company will establish an Advisory Board comprising recognised experts in South African agriculture, agribusiness finance, water law, and commodity markets. Advisory Board members will provide strategic guidance on technical matters, policy developments, and industry relationships, meeting bi-annually or as needed. This structure provides access to senior expertise without the full governance burden of board directorships.
