13.1 Regulatory Framework

The Company’s operations are subject to a comprehensive regulatory framework including: the Companies Act (No. 71 of 2008); the National Water Act (No. 36 of 1998) governing water use licences; the Conservation of Agricultural Resources Act (CARA) governing soil and water conservation; the Agricultural Product Standards Act governing export quality standards; the Foodstuffs, Cosmetics and Disinfectants Act governing food safety; the Occupational Health and Safety Act governing workplace safety; and the Broad-Based Black Economic Empowerment Act and associated Codes of Good Practice.

13.2 Key Licences and Permits

The following licences and permits are required and will be obtained during the establishment phase: water use licence from the Department of Water and Sanitation; environmental impact assessment (EIA) approval; rezoning and land use change approval from the Mbombela Local Municipality; FSSC 22000 and HACCP certification for the processing facility; export phytosanitary certification from DALRRD; GlobalG.A.P. certification; and various building and fire safety approvals for the processing facility.

13.3 Intellectual Property

The “Lowveld Gold” brand name and logo will be registered as a trademark with CIPC. The Company will also seek to protect its cultivar selection intellectual property and processing methodologies through appropriate confidentiality agreements with key employees and contractors.
