Appendix B: Livestock Valuation Methodology

Biological assets (livestock) are valued in accordance with IAS 41 – Agriculture, at fair value less costs to sell. Fair value is determined by reference to prevailing livestock auction prices for comparable animals of similar age, breed, and condition. Changes in fair value are recognised in the income statement as biological asset fair value adjustments.

Appendix C: Insurance Schedule

A detailed schedule of insurance policies, coverage limits, premiums, and excess amounts will be finalised upon commencement of operations and is available upon request.

Appendix D: Environmental Impact Assessment Summary

A Basic Assessment Report (BAR) in terms of the National Environmental Management Act will be commissioned as part of the project establishment phase. The assessment will address potential environmental impacts of farming activities, water usage, and infrastructure development, and will identify appropriate mitigation measures.

Appendix E: Shareholders’ Agreement Summary

Key terms of the shareholders’ agreement include: pre-emptive rights on share transfers, tag-along and drag-along provisions, board composition and voting rights, dividend policy, reserved matters requiring unanimous consent, deadlock resolution mechanisms, and restraint of trade provisions. The full agreement is available for review upon execution of a non-disclosure agreement.
