2.1 Legal Structure and Registration
The Company will be registered and incorporated as Pork Master Farms (Pty) Ltd under the Companies Act, 2008 (Act No. 71 of 2008) of the Republic of South Africa. The entity will be classified as a private agricultural enterprise, operating within the provisions applicable to primary agricultural producers.
The Company will register for Value-Added Tax (VAT) with the South African Revenue Service (SARS) from inception, given that projected turnover will exceed the mandatory registration threshold within the first year of operations. All statutory registrations, including the Unemployment Insurance Fund (UIF), Compensation Fund, and Skills Development Levy, will be completed prior to the commencement of operations.

The shareholding structure has been designed to ensure that operational management retains majority control (75%) while providing an institutional investment partner with meaningful equity participation. Kalahari Agricultural Holdings brings additional value through its established network of agricultural supply chain relationships and market access.
2.3 B-BBEE Compliance
The Company will be structured to achieve a minimum Level 4 Broad-Based Black Economic Empowerment (B-BBEE) rating from inception. With 75% black ownership through the founding shareholders, the Company will score highly on the ownership element of the Agri-BEE Sector Code. This positioning will be advantageous when tendering for supply contracts with government institutions, large retailers, and food service companies that require preferential procurement compliance from their suppliers.
