12.3 Key Hires

In addition to the three co-founders, NexusShield will recruit the following key executives in Year 1:

  • Chief Financial Officer — Qualified CA(SA) with insurance industry and capital markets experience

  • Chief Actuary — FASSA-qualified actuary with short-term insurance pricing and reserving expertise

  • Head of Compliance and Legal — Insurance regulatory specialist with FSCA and Prudential Authority experience

  • Head of Sales and Partnerships — Commercial insurance distribution leader with broker network relationships

  • Head of Data Science — PhD-level data scientist with financial services AI/ML deployment experience

12.4 Remuneration Philosophy

NexusShield’s remuneration framework will be benchmarked at the 60th percentile of the South African financial technology sector, supplemented by a meaningful equity participation programme through the 10% management incentive pool (ESOP). The ESOP will vest over four years with a one-year cliff to ensure retention and alignment with long-term value creation.
