The company, the vision and mission, the core values and the legal structure and governance underpinning Vellore Pizza Co.

2.1 The Company

Vellore Pizza Co.™ is a proposed private company to
be incorporated in the Republic of South Africa as a pizza-focused quick
service restaurant operator and franchisor. The Company will own and
operate flagship corporate restaurants, franchise its brand and
operating system to qualified independent operators, and supply both
channels through a central commissary. The brand name “Vellore” was
selected to convey sophistication, a bold urban identity and premium
accessibility, while remaining short, distinctive and suitable for
trademark protection and international scalability.

2.2 Vision & Mission

Vision

To become Africa’s most innovative and digitally integrated pizza
restaurant platform — the brand that a new generation of African
consumers chooses first when they order pizza.

Mission

To deliver fast, crave-worthy, technology-enabled pizza experiences —
consistently and affordably — through scalable franchise systems,
centralised supply-chain excellence and relentless operational
discipline.

2.3 Core Values

  • Consistency. Every pizza, in every store, every
    time — enforced through standardised recipes, central supply and
    operational audits.
  • Speed. A delivery-first culture in which
    time-to-customer is treated as the primary operational metric.
  • Value with integrity. Affordable pricing
    achieved through efficiency, not through diluting the product the
    customer can see and taste.
  • Digital by default. Technology is embedded in
    ordering, operations, supply and customer relationships rather than
    added as an afterthought.
  • Partnership. Franchisees are treated as
    long-term partners whose unit-level success is the foundation of the
    Company’s growth.

2.4 Legal Structure & Governance

The Company will be established as a private company (Pty) Ltd under
the Companies Act, 2008. A holding company will own the brand,
intellectual property and master franchise rights; operating
subsidiaries will hold the corporate restaurant estate and the
commissary. This structure ring-fences the high-value, capital-light
intellectual property and franchise income from the more
capital-intensive operating assets, providing flexibility for future
financing, partial divestiture or listing.

On completion of the capital raise, the Company will constitute a
board comprising the founder-executives, nominees of the lead equity
investor, and at least two independent non-executive directors with
relevant QSR, franchising or capital-markets experience. Board
sub-committees for Audit & Risk and for Remuneration &
Nominations will be established. The Company will adopt governance
practices consistent with the King IV Report on Corporate Governance,
positioning it for institutional ownership and an eventual public
listing.
