The management team, the organisational structure, corporate governance and the human-capital plan supporting the platform.

Execution risk in a multi-unit, multi-channel QSR rollout is
concentrated in the quality of the leadership team and the
organisational design that supports rapid, controlled scaling. Vellore’s
organisational plan provisions for a lean but complete executive team
from financial close, building out functional depth in line with network
growth.

9.1 Leadership Roles

The Company will recruit and retain an experienced executive team
across the following core functions. Where roles are not yet filled at
the date of this plan, the capital raise includes provision for
competitive recruitment of proven QSR, franchising and technology
operators.

9.2 Organisational Scaling Plan

Headcount and corporate overhead scale deliberately ahead of, but in
proportion to, network growth. Corporate overhead rises from
approximately R38.0m in FY1 to R116.0m
in FY5, reflecting the build-out of franchise support, technology,
supply-chain and finance functions. Critically, overhead grows more
slowly than revenue — the source of much of the operating leverage in
the model — because the franchise and commissary platforms scale without
proportionate increases in central cost.

9.3 Advisory & Governance Support

Beyond the executive team, the Company will assemble a board with
independent non-executive directors and engage specialist advisers in
franchising law, food safety and capital markets. A Franchise Advisory
Council will provide structured franchisee representation, ensuring that
the operators who carry the brand at unit level have a formal voice in
its evolution. This governance architecture is designed to satisfy
institutional-investor and lender diligence and to prepare the Company
for an eventual public listing.
