14.1 Geographic Expansion

The Company’s geographic expansion follows the density logic of
delivery economics — saturating high-density metros before extending
into secondary cities and, ultimately, the broader SADC region where
South African pizza brands have already proven the export model.

The Phase 3 regional thesis is not speculative: South Africa’s
leading pizza brands already operate across multiple SADC markets, and
the second-largest domestic chain has extended into Namibia, Botswana
and Zambia. Vellore’s commissary-and-franchise model is well-suited to
this measured cross-border replication once the domestic platform is
proven and self-funding.

14.3 Conclusion

Vellore Pizza Co.™ represents a disciplined, evidence-based
opportunity to build a scalable, digitally enabled, delivery-first pizza
platform purpose-built for the evolving South African consumer economy.
The plan combines a large and growing market, proven category economics,
a differentiated and defensible operating model, an experienced-team-led
execution plan, and a fully integrated financial model with a clear path
from build-out to profitability and exit.

By combining advanced delivery infrastructure, premium-value
positioning, youth-oriented branding, technology-enabled operations,
centralised procurement and scalable franchise systems, the Company is
positioned to become one of Southern Africa’s leading pizza restaurant
brands — and to deliver attractive, risk-adjusted returns to the
investors and lenders who partner in its growth.

The ask

Capital sought: R330 million (R200m equity / R130m
senior debt). Use: Corporate estate, central commissary,
technology platform, working capital and launch. Outcome by FY5: 158 stores, R2.96bn system sales,
R822.7m revenue, R242.7m EBITDA. Exit: JSE listing, strategic trade sale, or PE
secondary at an 8–12× EBITDA multiple.
