AgriNova Milling Technologies (Pty) Ltd will be incorporated as a
private company under the Companies Act, 2008 of the Republic of South
Africa. The Company is structured to hold the integrated milling, feed
and equipment-manufacturing operations within a single balance sheet,
supported by clearly delineated divisional management and reporting.
This section sets out the Company’s vision, mission, legal and ownership
framework, guiding values and strategic objectives.
2.1 Vision
To become a leading integrated maize-processing and
milling-technology group in Southern Africa — recognised for food-grade
quality, engineering excellence, and a tangible contribution to rural
economic development and food security.
2.2 Mission
AgriNova’s mission is to mill affordable, high-quality staple foods
for South African households while building and servicing the milling
infrastructure that enables a more decentralised, resilient and
inclusive maize value chain. The Company will pursue this mission
through disciplined operations, continuous investment in technology and
skills, and partnerships that extend processing capacity closer to where
maize is grown and consumed.
2.3 Legal Structure & Ownership
The Company will be held by a combination of founding management, a
strategic equity investor, and a broad-based black economic empowerment
(B-BBEE) participant, with the precise shareholding to be finalised on
completion of the capital raise. The intended structure is designed to
achieve a strong empowerment credential — an important factor in
securing development-finance support and preferential procurement —
while retaining experienced operational leadership and aligning all
shareholders behind long-term value creation.

formal retail, wholesale and institutional channels. - Build the equipment and services division into a self-sustaining
profit pool contributing roughly one-sixth of group revenue. - Maintain a minimum debt-service-coverage ratio above the 1.25x
lender threshold throughout the loan term. - Deploy a measurable ESG and development-impact programme,
including community mills and skills training.
