2.1 Legal Entity and Registration
GoldenNest Poultry Farms (Pty) Ltd will be registered as a private company in terms of the South African Companies Act, No. 71 of 2008. The Company will be registered with the Companies and Intellectual Property Commission (CIPC) and will obtain all required licences and permits, including:

2.2 Registered Address and Operating Location
The Company’s registered office will be located in Johannesburg. The primary production facility will be situated on a 50-hectare property in the peri-urban agricultural belt south of Johannesburg, providing proximity to major distribution routes (N1, N3, and N12 national highways) and the Gauteng consumer market, which accounts for approximately 35% of South Africa’s total egg consumption.
2.3 Business Activities
GoldenNest will engage in the following primary business activities:

Commercial production of table eggs from layer hens (conventional cage, barn, and free-range systems)

Grading, sorting, packaging, and branding of eggs for retail, wholesale, and institutional distribution

Distribution and logistics management to customers across Gauteng and neighbouring provinces

Sale of spent hens and poultry manure as secondary revenue streams
2.4 Stage of Development
The Company is in the pre-operational phase. Key milestones achieved to date include completion of the business plan and financial model, identification and preliminary assessment of suitable farmland, engagement with potential off-take partners, and initial discussions with lenders and equity investors. Upon securing funding, the estimated timeline from ground-breaking to first egg production is approximately 8 to 10 months.
