3.2 B-BBEE Compliance
The Company’s ownership structure supports compliance with the Broad-Based Black Economic Empowerment (B-BBEE) Act and the Agri-BEE Sector Code. With 50% Black ownership (Sipho Mthembu at 40% and Thando Nkosi at 10%), the Company will target a Level 2 or Level 3 B-BBEE contributor status, enhancing its competitiveness when tendering for supply contracts with government institutions and large corporates.
3.3 Board of Directors
The Board of Directors will comprise the four founding shareholders and one independent non-executive director to be appointed within six months of incorporation. The Board will meet quarterly and will be responsible for strategic direction, corporate governance, and oversight of management performance.
3.4 Key Management Profiles
Sipho Mthembu – Managing Director
Mr Mthembu holds a BSc in Agricultural Sciences from the University of Pretoria and has over 12 years of experience in commercial poultry farming, including five years as farm manager at a 200,000-bird layer operation in Mpumalanga. He will oversee overall business strategy, farm operations, and stakeholder relationships.
Lauren van der Westhuizen – Finance Director
Ms van der Westhuizen is a Chartered Accountant (SA) and holds a BCom (Hons) from Stellenbosch University. She has eight years of experience in agricultural finance, including roles at Absa Agribusiness and the Land Bank. She will manage financial planning, investor relations, and regulatory compliance.
Ravi Patel – Operations & Supply Chain Director
Mr Patel holds a BEng (Industrial) from the University of the Witwatersrand and an MBA from the University of Cape Town. He brings 10 years of supply chain and operations management experience across FMCG and agricultural sectors. He will manage production systems, logistics, procurement, and quality assurance.
Thando Nkosi – Sales & Marketing Director
Ms Nkosi holds a BCom in Marketing from the University of Johannesburg and has seven years of experience in FMCG sales and brand management, including roles at Tiger Brands and RCL Foods. She will lead sales strategy, customer acquisition, brand development, and marketing campaigns.
3.5 Advisory Board
The Company intends to establish a non-statutory Advisory Board comprising industry experts in poultry veterinary science, agricultural economics, and retail distribution to provide guidance on strategic and technical matters.
