12.1 Company Law

The Company will be incorporated and will operate in compliance with the Companies Act, No. 71 of 2008, including requirements relating to annual financial statements, director duties, shareholder rights, and CIPC filings.

12.2 Agricultural Regulations

  • Agricultural Product Standards Act (Act 119 of 1990): Compliance with egg grading and labelling standards

  • Fertilizers, Farm Feeds, Agricultural Remedies and Stock Remedies Act (Act 36 of 1947): Compliance with feed standards and veterinary medicines regulations

  • Animal Protection Act (Act 71 of 1962): Adherence to animal welfare standards

  • Meat Safety Act (Act 40 of 2000): Applicable to slaughter of spent hens

12.3 Environmental Compliance

The Company will obtain all required environmental authorisations, including:

  • Environmental Impact Assessment (EIA) in terms of NEMA and the EIA Regulations (2014, as amended)

  • Water Use Licence (WUL) from the Department of Water and Sanitation for water abstraction and effluent discharge

  • Waste Management Licence if applicable under the National Environmental Management: Waste Act

12.4 Tax and Employment

The Company will register for and comply with all tax obligations, including corporate income tax, Value Added Tax (VAT), Pay-As-You-Earn (PAYE), Skills Development Levy (SDL), and Unemployment Insurance Fund (UIF) contributions. Employment practices will comply with the Basic Conditions of Employment Act, Labour Relations Act, and Employment Equity Act.

12.5 Industry Memberships

GoldenNest will maintain membership in the South African Poultry Association (SAPA) and will participate in industry programmes related to biosecurity, animal welfare, and market development.
