2.1 Legal Structure and Registration

Mr. Toilet (Pty) Ltd will be incorporated as a private company under the Companies Act 71 of 2008. The company will register with the following regulatory bodies:

  • Companies and Intellectual Property Commission (CIPC) – Company registration

  • South African Revenue Service (SARS) – Tax registration including VAT, PAYE, UIF, and SDL

  • Department of Employment and Labour – Compensation Fund registration

  • KwaZulu-Natal Department of Economic Development – Trade licences

  • eThekwini Municipality – Waste disposal permits and business licences

2.2 Registered Office and Depot

The company’s registered office and primary operational depot will be located in the Prospecton industrial area, south of Durban. This location offers direct access to the N2 freeway and proximity to Durban’s major construction corridors, event venues, and the port. The depot will comprise approximately 2,500 m² of yard space, including a covered maintenance workshop, chemical storage area, cleaning bays, and administrative offices.

2.3 B-BBEE Compliance

Mr. Toilet is committed to achieving and maintaining a minimum Level 2 Broad-Based Black Economic Empowerment (B-BBEE) rating. With 50% black ownership (David Nkosi 40% and Sipho Khumalo 10%), the company exceeds the ownership threshold.
