3.1 Shareholding

3.2 Board of Directors
The Board of Directors will comprise the four founding shareholders plus one independent non-executive director to be appointed within six months of incorporation. The Board will meet quarterly and will be responsible for strategic oversight, risk management, and governance compliance. An Audit and Risk Committee and a Social and Ethics Committee will be established in accordance with the Companies Act and King IV principles.
3.3 Key Management Appointments
In addition to the directors, the following key management positions will be recruited prior to launch:

General Manager – Responsible for day-to-day operations, reporting to the Managing Director. Minimum 8 years’ experience in services or logistics businesses.

Sales and Business Development Manager – Responsible for client acquisition, tender submissions, and account management. Minimum 5 years’ experience in B2B sales.

Health, Safety, and Environmental (HSE) Officer – Responsible for compliance with the Occupational Health and Safety Act, waste-disposal regulations, and environmental management. Minimum SAMTRAC certification.
