3.1 Shareholding

Shareholder Ownership Role Background
David Nkosi 40% Managing Director 15 years in construction and infrastructure services. Former project manager at Group Five. Holds a BSc in Civil Engineering (UKZN).
Ryan van Zyl 30% Operations Director 12 years in logistics and fleet management. Former regional manager at Imperial Logistics. Holds a BCom in Supply Chain Management (Stellenbosch).
Ayesha Patel 20% Financial Director 10 years in corporate finance and investment banking. Former associate at Investec. Holds a BCom (Hons) in Accounting and is a qualified CA(SA).
Sipho Khumalo 10% Technical Director 18 years in maintenance and operations. Former maintenance supervisor at Sanitech. Holds a National Diploma in Mechanical Engineering (DUT).

3.2 Board of Directors

The Board of Directors will comprise the four founding shareholders plus one independent non-executive director to be appointed within six months of incorporation. The Board will meet quarterly and will be responsible for strategic oversight, risk management, and governance compliance. An Audit and Risk Committee and a Social and Ethics Committee will be established in accordance with the Companies Act and King IV principles.

3.3 Key Management Appointments

In addition to the directors, the following key management positions will be recruited prior to launch:

  • General Manager – Responsible for day-to-day operations, reporting to the Managing Director. Minimum 8 years’ experience in services or logistics businesses.

  • Sales and Business Development Manager – Responsible for client acquisition, tender submissions, and account management. Minimum 5 years’ experience in B2B sales.

  • Health, Safety, and Environmental (HSE) Officer – Responsible for compliance with the Occupational Health and Safety Act, waste-disposal regulations, and environmental management. Minimum SAMTRAC certification.
