Management & Governance

The management team, the organisational structure and the corporate governance underpinning Polar Nexus.

10.1 Leadership team

The venture will be led by an experienced management team combining
cold-chain operations, logistics commercial leadership, engineering and
financial discipline. The roles below describe the competencies
required; specific appointments are indicative and would be confirmed at
financial close, with several senior hires conditional on funding.

Role Mandate and required experience
Chief Executive Officer Overall strategy, fundraising and key customer relationships; 15+ years in logistics/cold chain or industrial infrastructure.
Chief Operating Officer Facility operations, refrigeration engineering, food safety and service delivery; proven cold-store or 3PL operating track record.
Chief Financial Officer Project finance, treasury, lender relationships, controls and reporting; infrastructure or asset-heavy finance background.
Commercial / Sales Director Anchor and contract origination, pricing and account management; established perishables and FMCG network.
Engineering & Energy Manager Refrigeration plant, solar/BESS, maintenance and energy optimisation.
Food Safety & Quality Manager Accreditation (HACCP/FSSC), audits and compliance.

10.2 Governance and board

The Company will adopt a governance framework consistent with the
King IV principles. A board comprising the founders, investor-nominated
non-executive directors and independent directors will oversee strategy,
risk and capital allocation. Board sub-committees for audit and risk,
and for health, safety, social and environmental matters, will be
established. Lenders will typically require customary information
rights, financial covenants (including the DSCR covenant modelled in
Section 14), and reserved matters — all of which the structure
accommodates.

10.3 Advisers and key partners

Execution will be supported by an EPC contractor for design-and-build
delivery, specialist refrigeration and solar OEMs, a WMS technology
partner, and professional advisers across legal, tax, quantity surveying
and audit. These relationships transfer and manage execution risk and
bring proven reference projects to the build phase.
