Governance architecture

  • A board combining the executive founders with investor-nominated and independent non-executive directors, appropriate to a development-scale balance sheet.
  • Audit & Risk and Remuneration & Nominations committees; monthly management accounts and quarterly investor and lender reporting, including covenant compliance.
  • A development oversight and cost-control framework (quantity surveyor, project monitor, contingency governance) for the construction phase.
  • A delegation-of-authority framework governing capital commitments, financing, related-party transactions and future management contracts.

Key-person and delivery considerations

As a founder-led development, the plan carries key-person dependency and significant construction-delivery risk. Mitigations include an experienced development team and appointed professional consultants and contractors, fixed-price or guaranteed-maximum-price construction contracting where possible, independent project monitoring for lenders, and institutionalised operating systems and a training academy that both protect quality and build the platform for future management contracts.
