3.1 Shareholding

3.2 Board and Governance

The Company will establish a Board of Directors comprising the four founding shareholders and one independent non-executive director with industry experience. The Board will meet quarterly to review financial performance, strategic direction, risk management, and compliance matters. An Advisory Board comprising an industry expert, a technology advisor, and a B-BBEE consultant will provide guidance on an ad hoc basis.

3.3 Key Management Team

The founding team collectively brings over 40 years of experience in operations, finance, sales, and logistics. Each director is assigned specific functional responsibilities:

Managing Director: Overall business strategy, operations oversight, quality assurance, and stakeholder management
Finance Director: Financial planning and analysis, treasury, investor relations, SARS compliance, and working capital management
Commercial Director: Sales pipeline development, corporate contract negotiation, digital marketing strategy, and brand building
Operations Manager: Fleet management, logistics coordination, staff scheduling, facility maintenance, and health and safety compliance
