Headcount grows from 10 full-time equivalents in FY2027 to 72 in FY2031. The FY2027 team is deliberately weighted toward engineering and compliance rather than sales, because in the first year the binding constraints are certification and integration, not demand.

Appointment |
Requirement |
Why it is a condition precedent |
|---|---|---|
|
Chief executive |
Payments or vertical software background with direct experience of a sponsor bank relationship |
The sponsorship negotiation is the first and hardest commercial task |
|
Chief technology officer |
Ledger and payment systems engineering; prior PCI DSS Level 1 environment experience |
A requirement rather than a preference. Attestation cannot be achieved without it |
|
Head of risk and compliance |
South African National Payment System experience |
Appointed before the sponsor bank due diligence process commences, not after |
|
Head of partnerships |
Enterprise software channel experience |
The first two integrations determine whether the plan is viable |
An option pool of 12 per cent is provided for at the seed round and a further 6 per cent top-up is modelled at the Series A. The dilution effect of both is reflected in the investor return calculation at Section 15.
