8.2 Governance framework

  • Board of 8: two founder/executive, two PE-nominated, one IDC and
    one DBSA observer, two independents including chair; audit & risk
    and social & ethics committees
  • Monthly management accounts within 10 business days; quarterly
    covenant certificates (DSCR, gearing, fleet utilisation,
    days-sales-outstanding)
  • Group treasury managing multi-currency exposure, transit bonds
    and fuel-hedging policy; board-approved delegation of authority
  • Annual external audit; independent fleet and asset verification;
    comprehensive insurance (goods-in-transit, fleet, liability, political
    risk on DRC exposure)
Analyst note — key-person and country risk

The team is defined by role, not by named, contracted individuals —
and this venture demands rare talent: cross-border mining-logistics
operators with DRC and Zambia regulatory networks and multi-currency
treasury discipline. For a R780m raise, DFI credit committees will
require signed principals (CEO, COO, CFO and Country MDs) as a condition
precedent. The plan should be read as conditional on securing operators
with demonstrable copperbelt-corridor track records.
