1.1 Company Overview

SerenOx Sulphuric Solutions (Pty) Ltd (“SerenOx”) is a South African industrial chemicals enterprise established to manufacture and export high-grade sulphuric acid to mining and mineral processing customers in the Democratic Republic of the Congo (“DRC”). The Company will operate a state-of-the-art production facility in Richards Bay, KwaZulu-Natal, strategically positioned to leverage South Africa’s mature industrial infrastructure, deep-water port access, and established rail and road corridors into Central Africa.

The DRC is the world’s largest producer of cobalt and ranks among the top global sources of copper—both metals essential to the accelerating global energy transition, electric vehicle manufacturing, and digital infrastructure development. Sulphuric acid is a critical reagent in the hydrometallurgical processes used to extract these metals, including heap leaching and solvent extraction–electrowinning (SX-EW). Demand for sulphuric acid in the DRC is projected to grow at a compound annual growth rate (CAGR) of 9–11% through 2030, driven by expanding mining production and new greenfield projects.
