2.1 Legal Structure & Registration

SerenOx Sulphuric Solutions (Pty) Ltd will be incorporated as a private company under the Companies Act 71 of 2008 of the Republic of South Africa. The Company will be registered with the Companies and Intellectual Property Commission (CIPC) and will hold all requisite licences, permits, and registrations to conduct the manufacture, storage, transportation, and export of sulphuric acid, a classified hazardous chemical substance.

Key regulatory registrations will include licensing under the National Environmental Management Act (NEMA), the National Water Act (NWA), Occupational Health and Safety Act (OHSA), and the Hazardous Substances Act. The Company will also obtain export permits from the South African Revenue Service (SARS) and register as a customs-bonded facility where applicable.

2.2 Location & Site Selection

The manufacturing facility will be situated in the Richards Bay Industrial Development Zone (RBIDZ) in KwaZulu-Natal. Richards Bay was selected following a comprehensive site assessment process that evaluated multiple locations across Gauteng, Mpumalanga, and KwaZulu-Natal. The decision was driven by the following strategic advantages:

  • Direct access to the Port of Richards Bay, one of the largest deep-water ports in the Southern Hemisphere, facilitating efficient bulk liquid and containerised exports

  • Proximity to the Durban–Richards Bay rail corridor operated by Transnet Freight Rail, enabling cost-effective inland transport

  • Availability of serviced industrial land within the RBIDZ with access to municipal water, electricity, and telecommunications infrastructure

  • Existing industrial chemicals cluster in Richards Bay, providing access to skilled labour, maintenance contractors, and emergency response services

  • Competitive incentive packages available through the RBIDZ and the Department of Trade, Industry and Competition (DTIC), including Section 12R tax allowances for qualifying IDZ operators

The Company’s core revenue stream will derive from the sale of 98% technical-grade sulphuric acid, which constitutes the industry standard for hydrometallurgical applications in copper and cobalt mining. The diluted product offering addresses a secondary market segment comprising smaller industrial processors and logistics customers who require lower concentrations for non-mining applications.

A differentiated logistics service offering will provide customers with end-to-end supply chain management, from ex-works Richards Bay to on-site delivery at mining operations in the Katanga (Haut-Katanga) province of the DRC. This vertically integrated approach reduces customer procurement complexity and strengthens SerenOx’s competitive position.

2.4 B-BBEE Compliance & Transformation

SerenOx is committed to achieving a Level 2 B-BBEE contributor status within the first three years of operation. The Company’s transformation strategy encompasses the following elements:

  • Ownership: Mr. Thabo Maseko, a Black South African, holds a 45% equity stake in the Company, ensuring meaningful Black ownership at the control level

  • Management Control: The executive team and board will reflect South Africa’s demographic diversity, with targets for Black representation at senior and top management levels

  • Skills Development: Allocation of 3% of annual payroll to accredited training programmes, learnerships, and bursary schemes for previously disadvantaged individuals

  • Enterprise and Supplier Development: Preferential procurement from B-BBEE compliant and Black-owned suppliers, with a dedicated enterprise development fund to support emerging SMMEs in the Richards Bay area
