2.1 Legal Structure

BuildMart (Pty) Ltd will be registered as a private company under the
Companies Act 71 of 2008 in South Africa. The company will be domiciled
in Johannesburg, Gauteng, with its registered office and head office
co-located at the central distribution facility. The corporate structure
will accommodate B-BBEE requirements with a minimum Level 2 contributor
status targeted within 24 months of incorporation, facilitating access
to government tenders and preferential procurement opportunities.

2.2 Vision & Mission

Vision

To become South Africa’s most trusted, accessible, and cost-efficient
hardware retail network, building an integrated construction supply
ecosystem that serves individuals, SMEs, and large-scale
developers.

Mission

To democratise access to quality building materials by delivering
competitive pricing, superior product range, and professional-grade
service through a technology-enabled, nationally distributed store
network.

2.3 Core Values

BuildMart’s operations will be anchored by five core values: Customer
Centricity, placing the builder and homeowner at the centre of every
decision; Operational Excellence, pursuing continuous improvement in
supply chain efficiency and store operations; Integrity, maintaining
transparency with investors, suppliers, and customers; Community Impact,
creating meaningful employment and supporting local supplier
development; and Innovation, leveraging technology and data analytics to
disrupt traditional hardware retail.

2.4 Ownership & B-BBEE
Compliance

The company will structure its shareholding to achieve a minimum of
30% black ownership at incorporation, with a clear pathway to 51% or
more through an employee share ownership programme (ESOP) and community
trust. This structure is designed to achieve Level 2 B-BBEE contributor
status, which is essential for competitiveness in government and SOE
procurement processes. Skills development expenditure will target 3% of
annual payroll, and enterprise and supplier development spending will
exceed 3% of net profit after tax within three years of operations.
