The organisational structure, board and advisory team, and the B-BBEE and transformation approach guiding the business.

8.1 Organisational Structure

HealthPlus will be governed by a Board of Directors comprising
executive directors, non-executive directors, and investor
representatives. The executive management team will include:

8.2 Board and Advisory

The Board will include at least two independent non-executive
directors with relevant industry expertise, one of whom will serve as
independent chairperson. An Audit and Risk Committee and a Remuneration
Committee will be constituted in accordance with King IV governance
principles. An Advisory Board comprising healthcare industry veterans,
regulatory experts, and digital health entrepreneurs will provide
strategic guidance on market opportunities, regulatory navigation, and
technology roadmap development.

8.3 B-BBEE and Transformation

HealthPlus is committed to meaningful broad-based black economic
empowerment. The ownership structure will incorporate a minimum 30%
black ownership, with specific provisions for black women ownership. The
Company will implement a comprehensive skills development programme,
targeting pharmacy bursaries and learnership placements, enterprise
development initiatives supporting small black-owned health product
suppliers, and preferential procurement from B-BBEE compliant suppliers.
Target B-BBEE scorecard: Level 2, enabling the Company to compete for
medical scheme contracts and public sector opportunities where B-BBEE
compliance is a prerequisite.
