Management & Governance

Delivering an integrated, multi-region poultry build demands a broad, experienced leadership team spanning agricultural operations, processing, veterinary science, supply chain, brand and finance. The proposed structure below reflects the capabilities the venture requires; assembling and evidencing this team is itself a key diligence item for a green-field business.

10.2 Governance & controls

The Company will operate a board with independent representation, dedicated project-management and cost controls for the phased build, robust financial reporting, and the biosecurity, food-safety and covenant-monitoring frameworks that lenders and premium buyers require. A debt-service reserve and defined covenants (Section 13) provide lender protection through the ramp.

NoteFor a green-field, the team is much of the underwrite

With no operating track record to rely on, the credibility of Aviana’s case rests heavily on the demonstrated experience of its leadership, particularly in integrated poultry operations, biosecurity and premium-brand building. Diligence should focus on the specific track records of the individuals who will actually run the farms, the abattoir and the brand, since execution capability, more than any spreadsheet assumption, will determine whether this build succeeds.
