The B-BBEE ownership structure positions the company favourably for municipal tenders and corporate procurement, with 45% Black ownership (Thabo Mokoena 35% and Naledi Dlamini 10%) exceeding the 25% threshold for maximum ownership points under the Generic Codes of Good Practice.
3.2 Organisational Structure
The company will adopt a flat organisational structure in the startup phase, with the four founding shareholders occupying key executive roles. As the business scales, the organisational structure will evolve to include dedicated departmental heads for operations, finance, sales, and compliance. The initial workforce will comprise 35 employees, expanding to approximately 65 employees by Year 5 in line with geographic and service line expansion.
3.3 Board of Directors and Advisory
An independent non-executive board will be constituted within 12 months of incorporation, comprising two independent directors with experience in environmental regulation and corporate governance. An advisory board including representatives from the waste management industry, municipal government, and impact investing will be established to provide strategic guidance.
