Company Overview

The legal and corporate structure, mission, vision and values, the founding team and governance, the operating footprint across South Africa and Botswana, and the key milestones to date.

2.1 Legal & Corporate Structure

Nimbus Direct Insurance Group (Pty) Ltd will be incorporated as a
private company under the Companies Act 71 of 2008 of the Republic of
South Africa, with its registered office in Sandton, Gauteng. The
Company will operate as a holding entity with two licensed operating
subsidiaries:

  • Nimbus Insurance Company (Pty) Ltd — a non-life
    insurer licensed by the Prudential Authority (PA) under the Insurance
    Act 18 of 2017, authorised for motor, property, accident and health,
    miscellaneous, engineering, and liability classes.
  • Nimbus Life (Pty) Ltd — a life insurer licensed
    by the PA, authorised for funeral, life risk, and credit-life classes
    (from Year 4 onwards).
  • Nimbus Insurance Botswana (Pty) Ltd — a
    Botswana-incorporated non-life insurer licensed by the Non-Bank
    Financial Institutions Regulatory Authority (NBFIRA), commencing
    operations in Year 3.

2.2 Mission, Vision & Values

Mission

To make high-quality short-term insurance simple, fair, and digitally
accessible to every South African and Botswanan household and small
business, while sharing economic outcomes transparently with the
customers who fund the system through their premiums.

Vision

To be the most trusted, technology-driven direct insurer in Southern
Africa by 2030 — measured by Net Promoter Score, customer retention,
combined ratio, and shareholder return on equity.

2.3 Founding Team & Governance

The founding leadership team has been assembled to combine deep South
African insurance experience with insurtech operating expertise and
capital-markets credibility. Specific appointments will be confirmed
prior to first close of the capital raise and disclosed in the
Information Memorandum. The Board of Directors will consist of nine
members: three executive directors (CEO, CFO, CUO), four independent
non-executive directors (including a Chair with prior listed-company
experience), and two investor-nominated directors. The Board will
operate four standing committees:

  • Audit & Risk Committee (chaired by an independent NED with
    chartered accountancy and risk experience).
  • Investment Committee (oversight of asset allocation of the
    insurance funds and shareholder capital).
  • Remuneration & Nominations Committee.
  • Social, Ethics & Transformation Committee (mandated under the
    Companies Act and aligned with the B-BBEE Codes of Good
    Practice).

2.4 Operating Footprint

Nimbus will operate from a primary head-office and contact-centre hub
in Sandton, Gauteng, with an additional contact-centre and
disaster-recovery site in Cape Town, Western Cape, providing geographic
resilience and 24/7 customer-service coverage. The Botswana operating
company, headquartered in Gaborone, will share core platform, data, and
reinsurance services with the South African parent while maintaining
locally-domiciled capital, governance, and compliance functions in line
with NBFIRA requirements.

2.5 Key Milestones to Date

The Company is currently in pre-incorporation phase. The roadmap from
initial founder agreement to commercial launch is set out in Section 11
(Implementation Roadmap), with detailed quarterly milestones supported
by a Gantt chart.
