The company will be incorporated in Gauteng Province, with its registered office located at its flagship café premises. The business is structured to comply with all applicable South African regulatory requirements, including the Companies Act 71 of 2008, the Consumer Protection Act, and all municipal health and safety regulations.

2.5 Legal Structure & Governance
The company will be registered as a (Pty) Ltd entity with an initial authorised share capital structure accommodating both founding equity and investor participation. The governance framework includes a formal board of directors comprising at least one independent non-executive director, quarterly board meetings, audited annual financial statements, and compliance with King IV governance principles appropriate for a growth-stage enterprise.
2.6 B-BBEE Compliance
Urban Bean Café is committed to achieving a minimum Level 4 Broad-Based Black Economic Empowerment (B-BBEE) rating within 18 months of launch.
