14.2 Corporate Governance

The Company will be governed by a Board of Directors comprising a
minimum of seven members, including two executive directors (CEO and
CFO), three independent non-executive directors (including the Board
Chairperson), one DFI nominee, and one community trust representative.
Board committees will include the Audit and Risk Committee, Technical
Committee, Remuneration Committee, and Social and Ethics Committee, all
governed by formal charters aligned with the King IV Code of Corporate
Governance.
