The Company is structured as a Special Purpose Vehicle (SPV),
consistent with international project finance best practice for
utility-scale infrastructure assets. This ring-fenced structure isolates
project risks, provides security to lenders through asset-level pledges,
and facilitates the non-recourse debt financing structure preferred by
development finance institutions. The corporate governance framework
includes a Board of Directors with independent non-executive
representation, an Audit and Risk Committee, and a Technical Advisory
Committee comprising independent engineering experts.

long-term bankable structures, delivering superior risk-adjusted returns
while advancing South Africa’s energy transition and community
development goals.
2.3 Technology Overview
The Solstice Energy project employs a proven, bankable technology
configuration optimised for the Northern Cape’s high direct normal
irradiation environment. The system utilises high-efficiency Tier 1
monocrystalline bifacial photovoltaic modules mounted on single-axis
tracking systems, which increase annual energy yield by 18–25% compared
to fixed-tilt installations by continuously optimising the angle of
incidence throughout the day. The tracking system is designed for the
site’s specific latitude and terrain profile.
Power conversion is achieved through a combination of central and
string inverter architecture, selected based on site-specific
optimisation modelling to maximise energy yield while minimising
electrical losses. The DC-to-AC ratio of 1.30 (130 MW DC / 100 MW AC) is
designed to maximise energy capture during shoulder hours while managing
inverter clipping losses within acceptable limits. The system connects
to the national grid via a purpose-built 132kV substation and dedicated
transmission line interface compliant with the South African Grid Code
and NERSA technical standards.
