The vision, mission and mandate, the corporate structure and the foundations underpinning KarooPrime Capretto.

2.1 Vision, mission and mandate

Vision. To become Southern Africa’s leading
integrated goat-meat enterprise — the trusted, traceable bridge between
thousands of communal and emerging goat farmers and premium domestic and
export markets.

Mission. To industrialise and formalise the goat
value chain through fair, reliable offtake for farmers; consistent,
food-safe, Halaal-certified products for customers; and attractive,
development-positive returns for investors.

Mandate. To deploy capital responsibly across a
phased build-out that proves the unit economics of a single integrated
hub before replicating the model across additional provinces and export
corridors.

2.2 Corporate structure

KarooPrime Capretto (Pty) Ltd is incorporated in the Republic of
South Africa as a private company. The Company will hold the operating
assets directly, with the contract-farmer network organised through
grower agreements and a producer-development trust that channels
training, inputs and a portion of equity participation to participating
communities. This structure mirrors the special-purpose vehicle approach
successfully used by the state-backed Kalahari Kid Corporation, adapted
for a commercially governed, investor-backed entity.

2.3 The integrated value chain

KarooPrime’s competitive logic rests on controlling the chain end to
end. Each link both de-risks the next and captures margin that, in the
informal trade, leaks to middlemen or is lost to poor cold-chain and
quality control:

  • Aggregation. Rural collection hubs consolidate goats from
    contracted communal and emerging farmers, with weighing, ear-tagging,
    vaccination records and digital traceability captured at
    intake.
  • Feedlot finishing. A commercial feedlot conditions animals to
    consistent slaughter weight and grade, smoothing the seasonality and
    variability inherent in communal production.
  • Slaughter & processing. A Halaal-certified, export-registered
    abattoir performs humane slaughter, dressing, cryovac packing and
    value-added cutting under HACCP controls.
  • Cold-chain distribution. A refrigerated fleet delivers chilled
    and frozen product to retail, hospitality, butchery and
    export-consolidation points without breaking the cold chain.
  • Market access. Branded retail listings, foodservice supply, and
    Halaal export channels convert controlled supply into premium,
    diversified revenue.

This integration is the foundation of the Company’s margin thesis and
the reason its blended realisation per head can exceed the fragmented
informal benchmark while still paying farmers a fair, predictable
price.

2.4 Phased development strategy

The business is built in three deliberate phases, each with clear
capital gates and operational proof points. This phasing is reflected in
the implementation roadmap (Section 9) and underpins the
capital-deployment profile in the financial plan.
