The organisational structure, the management team, governance and the human-capital plan underpinning KarooPrime Capretto.

Execution risk in an integrated agribusiness is managed primarily
through people and governance. The Company will be led by an experienced
executive team spanning agribusiness operations, meat processing,
supply-chain logistics, commercial/export sales and finance, overseen by
an independent-majority board with committee structures appropriate to a
DFI-funded enterprise.

10.2 Governance

Governance is structured to meet the expectations of
development-finance and institutional investors. The board carries an
independent-director majority and operates Audit & Risk, Investment,
and Social & Ethics committees. The Social & Ethics committee
oversees the development-impact mandate and the producer-development
trust, ensuring the inclusive objectives that justify blended finance
are tracked and reported with the same rigour as financial
performance.

10.3 Human capital and skills transfer

Beyond the executive team, the Company invests in skills transfer
through a structured training programme for contracted farmers (animal
husbandry, biosecurity, record-keeping) and accredited technical
training for plant and logistics staff — echoing the SETA-accredited
model demonstrated in the sector. This builds the operational capability
the business depends on while deepening its developmental footprint.
