AeroSphere has identified the principal risks to the venture and the
mitigants embedded in its strategy, structure and operating plan. The
phased, gated approach to capital deployment is itself the single most
important risk-management feature of the plan.

14.1 Risk Management Framework

Risk will be managed through the board audit-and-risk committee, a
formal enterprise risk-management framework with a maintained risk
register, regular independent technical and financial reviews during
construction, and covenant-based monitoring with lenders. Insurance,
contractual risk transfer and contingency reserves provide additional
layers of protection.
