11.1 Founding Executive Team
FGRG’s founding leadership combines deep commodity trading
experience, structured-finance expertise, steel-manufacturing
operational depth, and emerging-markets execution credentials. The team
has been assembled with specific reference to the demands of a scaled
multi-jurisdiction trading and industrial business. Profiles below
describe the role and expected background; final appointments are
subject to definitive contracts at financial close.

11.2 Organisational Structure
11.3 Board of Directors
The Board comprises 9 members: 3 executive directors, 3 independent
non-executive directors (including an independent Chairman with senior
public-company experience), and 3 nominee directors representing major
shareholders. Mandatory committees include Audit & Risk Committee
(chaired by independent NED), Remuneration & Nominations Committee
(chaired by independent NED), and Sustainability & Safety Committee.
Board meets bi-monthly with annual strategy off-site. Independent
directors will be sought with steel-industry, finance, ESG, and
African-markets credentials.
11.4 Compensation Philosophy
Executive compensation is structured to align with long-term value
creation: 35% fixed salary, 25% short-term incentive (annual bonus tied
to EBITDA, safety, and ESG KPIs), and 40% long-term incentive
(equity-linked, vesting over 5 years, with performance hurdles tied to
total shareholder return). All senior management participate in an
equity pool sized at 10% of fully diluted shares post-Tranche 1.
