8.2 Governance framework

  • Board of 7: two founder/executive, two funder-nominated
    non-executives, three independents including chair; audit & risk,
    and social & ethics committees per Companies Act

  • Monthly management accounts within 10 business days; quarterly
    covenant compliance certificates to lenders (DSCR, current ratio, flock
    count verification)
  • Annual external audit; independent flock and inventory
    verification at each year-end; insurance programme covering livestock
    mortality, assets and business interruption
  • Delegation-of-authority matrix; procurement above R2m requires
    dual board sign-off
Analyst note — key-person and assembly risk

The management team is identified by role, not by named, contracted
individuals. For a R245m raise this is a material gap: DFI credit
committees typically require signed term sheets with the CEO, CFO and
Operations Director before approval. The plan should be read as
conditional on securing operators with demonstrable large-flock track
records; the implementation roadmap allows a 6-month recruitment window
pre-close.
