2.1 Background and History
ProPoultry Community Project was established in 2001 by a group of sixteen business-minded, enthusiastic and community-driven women from Sanfontein Village in the heart of Moses Kotane Local Municipality, North West Province. Since its founding, the members have demonstrated unwavering commitment to their vision of establishing a sustainable poultry enterprise that creates employment, empowers women and youth, and contributes to poverty alleviation in their community.
The project was initially registered as a Close Corporation and has operated on a small scale, gaining practical experience in poultry husbandry and building relationships with local suppliers and potential customers. An Environmental Impact Assessment was conducted and a borehole was sunk at the original site. The project has since been allocated a new site zoned for agricultural and business purposes within the Moses Kotane Spatial Development Framework, providing a more suitable location for commercial-scale operations.
The founding group has self-selected to nine committed members who form the core management team. This streamlined ownership structure, combined with over two decades of commitment and learning, positions the Company for the transition from community project to commercially viable enterprise.
2.2 Legal Structure
The entity will be converted from a Close Corporation to a private company — ProPoultry Community Project (Pty) Ltd — in accordance with Schedule 2 of the Companies Act 71 of 2008, prior to any drawdown of investment funds. This conversion provides enhanced corporate governance, limited liability protection, separate legal personality and a structure familiar to institutional investors and development finance institutions. The Memorandum of Incorporation (MOI) will be drafted to accommodate future equity participation by investors while protecting the interests of the founding members.

2.7 Ownership and Governance
The nine founding members hold equal equity stakes of 11.11% each in the Company. A comprehensive shareholders’ agreement will govern matters including decision-making protocols, profit distribution, pre-emptive rights, tag-along and drag-along provisions, dispute resolution and exit mechanisms. The Company will reserve a 10% unallocated equity pool to accommodate future investor participation or an employee share ownership scheme.
The Board of Directors will comprise the nine founding members as executive directors, supplemented by the appointment of two independent non-executive directors with expertise in agribusiness finance and commercial farming operations. An Advisory Board will provide strategic guidance and includes representatives from SAPA, AgriSETA and the Moses Kotane Local Municipality LED unit. Board meetings will be held quarterly, with monthly management committee meetings.
