7.1 Leadership Team

Role Key Responsibility Required Experience & Background
Chief Executive Officer Strategy, investor relations, governance 15+ years in manufacturing/FMCG leadership. Track record in scaling operations and managing investor relationships. JSE or PE-backed company experience preferred.
Operations Director Production, quality, supply chain 10+ years in footwear or leather goods manufacturing. ISO 9001 implementation experience. Deep understanding of SABS/SANS standards for protective footwear.
Commercial Director Sales, marketing, distribution 10+ years in B2B sales within safety/PPE sector or FMCG. Established relationships with mining procurement and retail buying teams. Digital marketing expertise.
Chief Financial Officer Financial control, treasury, reporting CA(SA) with 8+ years post-articles experience. Manufacturing costing expertise. DFI and commercial bank relationship management. BEE compliance and reporting.
HR & Transformation Manager People, training, BEE compliance Experience in manufacturing HR with focus on skills development, labour relations, and BBBEE implementation. MERSETA and HWSETA experience advantageous.

7.2 Organisational Structure

The organisational structure follows a functional model with clear reporting lines, designed to support efficient decision-making during the start-up phase while providing a framework for scalable growth. The initial workforce will comprise 150 employees (120 production, 15 administrative, 15 management), growing to approximately 250 employees by Year 5.

7.3 Board of Directors

The Company will constitute an independent Board of Directors comprising a Non-Executive Chairperson, the CEO (Executive Director), two Independent Non-Executive Directors (with experience in manufacturing and financial services), and an Investor Representative Director. The Board will establish Audit, Risk, Remuneration, and Social & Ethics sub-committees in compliance with the Companies Act and King IV governance principles.

7.4 Skills Development & Training

Titan Footwear is committed to investing in workforce development as both a competitive advantage and a social imperative. The Company will establish an in-house training academy focused on footwear-specific technical skills (cutting, stitching, lasting, quality inspection) and will partner with the Manufacturing, Engineering and Related Services SETA (MERSETA) to access training grants and to offer learnerships and apprenticeships. An annual training budget of 3% of payroll has been allocated, exceeding the Skills Development Levies Act requirement.
