The corporate identity and legal structure, vision, mission and values, the operating footprint, ownership and the strategic intent underpinning AgriFeed Holdings.
2.1 Mission, Vision & Values
Mission. To deliver scientifically formulated,
consistently high-quality compound animal feeds — together with the
technical expertise that turns them into measurable on-farm productivity
— at industrial scale across South Africa and the wider SADC region.
Vision. To be Southern Africa’s most trusted
independent animal nutrition platform by 2032, recognised for
engineering, traceability, and the productivity of the farmers we
partner with.

Farmer partnership. Transparent governance. Stewardship of land, water,
and livelihoods.
2.2 Corporate Structure
AgriFeed Holdings (Pty) Ltd (registration to be assigned) will be
incorporated under the Companies Act, 2008 of South Africa as a private
limited company, with its registered head office in Sandton,
Johannesburg, and operational headquarters at the Phase 1 mill site in
eMalahleni, Mpumalanga. Two wholly owned operating subsidiaries are
contemplated:
- AgriFeed Manufacturing (Pty) Ltd — owns the milling assets,
plant, and inventory; counterparty to senior project debt and equipment
vendor agreements. - AgriFeed Trading & Advisory (Pty) Ltd — operates the
customer-facing sales, distribution, and technical advisory functions,
holds the brand, and is responsible for emerging-farmer
programmes.
The structure provides ring-fencing of project lender security,
simplifies future equity carve-outs, and offers tax and BEE-structuring
flexibility as the Group expands into KZN, Limpopo, and SADC.
2.3 Legal & Regulatory Status
AgriFeed will operate under the regulatory regime administered by the
Department of Agriculture, Land Reform and Rural Development (DALRRD)
under the Fertilizers, Farm Feeds, Agricultural Remedies and Stock
Remedies Act, 1947 (Act No. 36 of 1947), as amended. All compound feed
products will be registered under Act 36, manufacturing facilities will
be inspected and certified by the National Regulator for Compulsory
Specifications (NRCS) where applicable, and laboratories will operate to
ISO/IEC 17025 standards. The Company has scoped membership of the Animal
Feed Manufacturers Association (AFMA) as a Code of Conduct signatory and
active participant in industry forums.
2.4 Stage & Milestones to Date
AgriFeed Holdings is at the late-stage development phase of
incorporation. The founding team has completed feasibility studies,
secured a memorandum of understanding (MoU) for a 12-hectare brownfield
site in eMalahleni, executed term sheets with two preferred equipment
vendors, and is in advanced discussion with two anchor
poultry-integrator customers and one regional dairy cooperative.
Pre-development expenditures of approximately ZAR 9.5 million have been
funded by the founding shareholders and an early friends-and-family
round.
2.5 Founding Team Snapshot
The Company is led by a founding team that combines more than 110
years of cumulative experience in animal nutrition, agro-processing,
finance, and SADC trade (full biographies in Section 11).

2.6 Strategic Partners (Indicative)

negotiation with two of the global Tier-1 premix and additive
houses. - Logistics: framework agreement under negotiation with a national
bulk-transport operator covering primary in-bound maize and oilseed-meal
flows. - Financial Institutions: pre-mandate engagement initiated with the
Industrial Development Corporation (IDC), Development Bank of Southern
Africa (DBSA), and Land Bank for senior project debt and B-BBEE equity
