Management Team and Corporate Governance

The executive management team, the board and corporate governance, the advisory network and the human-capital plan supporting the platform.

9.1 Board of Directors

The Board of Directors will comprise a majority of independent
non-executive directors with deep sectoral and institutional expertise.
The Board will be chaired by a senior independent non-executive director
with significant prior chair experience in JSE-listed or
institutionally-owned infrastructure companies. Initial composition will
be as follows:

9.2 Board Committees

  • Audit and Risk Committee — chaired by an INED with a Chartered
    Accountant qualification, responsible for financial reporting integrity,
    internal controls, enterprise risk management, and external audit
    oversight.
  • ESG and Sustainability Committee — chaired by an INED with
    documented ESG expertise, responsible for IFC Performance Standards
    compliance, climate-related disclosure, community engagement, and HSE
    performance.
  • Remuneration and Nominations Committee — chaired by an INED,
    responsible for executive compensation, board succession planning, and
    director independence assessment.
  • Investment Committee — composed of the CEO, CFO, CTO, and two
    NEDs, responsible for project-level approvals, capital allocation, and
    bid-tariff sign-off.

Chief Financial Officer Chartered Accountant with 18+ years of project-finance experience; previously closed >USD 2 billion of African renewable energy debt transactions.
Chief Technical Officer Mechanical/electrical engineer with 22 years of EPC and OEM experience across solar, wind, and storage; published research on hybrid renewable systems.
Chief Operating Officer 15+ years in O&M and asset management; previously head of operations at a Tier-1 international IPP.
Chief ESG & Compliance Officer Former IFC Senior Environmental and Social Specialist with deep familiarity of the Performance Standards and Equator Principles framework.
Chief Legal Officer & Company Secretary Admitted attorney with 17 years of energy-sector regulatory and corporate-finance practice; former partner at a top-five SA law firm.
Head of Origination Specialist in corporate-PPA structuring; prior experience at a leading aggregator with USD 1.5 billion in closed corporate PPAs.
Head of Project Development Civil engineer with REIPPPP BW3-BW7 bid track record; deep grid-connection expertise.

9.5 Governance Standards

AGEH will adopt the King IV Code on Corporate Governance for South
Africa as its governance baseline, supplemented by selected provisions
of the UK Corporate Governance Code and the IFC’s Corporate Governance
Methodology. The Company will publish an Integrated Annual Report from
year one, audited by a Big-Four firm, that meets the disclosure
standards of the JSE Limited Listings Requirements even prior to any
listing event. The Board will commission an independent governance
review every three years.
