Operations Plan and Asset Management
The operations plan and asset-management model, construction and EPC, operations and maintenance, performance monitoring and the asset-availability and yield metrics.
8.1 Operational Philosophy
AGEH operates on the principle that operational excellence is as
important as financing excellence in protecting equity returns. The
Company will own, directly through its SPVs, all assets in the portfolio
and will exercise close strategic control of operations and maintenance,
performance monitoring, and risk management.
8.2 Asset Management Operating Model
The Company will establish an Integrated Renewable Asset Management
Centre (“IRAMC”) at its Johannesburg headquarters. This centre will
provide:
- Real-time monitoring and supervisory control of all generation
and storage assets via redundant SCADA / DERMS connections. - Predictive maintenance using machine-learning models trained on
OEM telemetry, weather data, and historical performance. - Performance analytics including availability, capacity factor,
performance ratio, and degradation tracking against P50, P75, and P90
forecasts. - Grid-coordination interface with NTCSA, the Eskom System
Operator, and the Wholesale Electricity Market operator (from
2027). - Environmental and social monitoring including bird and bat
mortality, water-use compliance, dust, noise, and grievance
tracking.

8.5 Health, Safety and Environmental Management
AGEH will operate an integrated HSE Management System compliant with
ISO 45001 (Occupational Health & Safety), ISO 14001 (Environmental
Management), ISO 50001 (Energy Management), and the eight IFC
Performance Standards. The Company commits to zero fatalities, a
Lost-Time Injury Frequency Rate below 0.30 per million hours worked, and
a Total Recordable Incident Rate below 1.50 per million hours worked.
HSE performance is reported to the Board’s ESG & Sustainability
Committee on a quarterly basis.
8.6 Information Technology and Cybersecurity
The Company’s operational technology environment will be segmented
from its enterprise information technology environment under an IEC
62443-compliant architecture. All SCADA, DERMS, and asset-control
systems will be subjected to annual penetration testing and continuous
threat monitoring via a third-party Security Operations Centre.
Cyber-insurance coverage of USD 25 million is to be maintained from
financial close.
