The phased implementation roadmap and Gantt chart, with key milestones from financial close and construction through grid connection to commercial operation across the portfolio.

12.1 Roadmap Overview

AGEH’s implementation roadmap is structured around four sequential
phases over a 10-year horizon: (i) Development and Permitting, 2026 to
2028; (ii) Financial Close and Construction, 2028 to 2030; (iii)
Commissioning and Commercial Operations, 2029 to 2030; and (iv)
Stabilised Operations and Growth, 2030 to 2036. Within these phases,
more than 50 critical-path activities have been mapped with
dependencies, durations, and milestone gateways. The Gantt chart below
presents the high-level summary.

12.2 Phase 1 — Development and Permitting (Q1 2026 to Q4 2027)

The development phase is the most concentrated period of regulatory,
technical, and stakeholder activity. Critical-path activities and target
completion dates include:

12.3 Phase 2 — Financial Close and Construction (Q1 2028 to Q3 2030)

Financial close is targeted for Q4 2027 for the REIPPPP and
BESIPPPP-anchored projects, and on a rolling basis for the corporate-PPA
projects. The construction phase will be managed via dedicated
owner’s-engineer oversight and project-management offices at each site.
Construction durations are: 18 months for solar PV; 22 months for wind;
14 months for BESS. Substation and grid-connection works will be
conducted in parallel with generation construction.

12.4 Phase 3 — Commissioning and Commercial Operations (Q3 2029 to Q3 2030)

Each project will undergo a structured commissioning sequence
comprising mechanical completion, cold commissioning, hot commissioning,
performance testing (P-test), reliability run, and taking-over
certification. Commercial Operations Date (“COD”) will be declared upon
meeting all PPA-defined COD conditions, including grid-code compliance
certification by NTCSA and the System Operator. The first COD is
targeted for Q4 2029 (Solar Cluster 1), followed by BESS Hub 1 (Q1
2030), BESS Hub 2 (Q2 2030), Solar Cluster 2 (Q2 2030), and the Wind
Farm (Q3 2030).

12.5 Phase 4 — Stabilised Operations and Growth (Q4 2030 to Q4 2036)

Following full portfolio COD, the focus shifts to operational
excellence, refinancing, and pipeline expansion. Key milestones in this
phase include: refinancing of senior debt via a green bond issue in 2032
(targeting 200 bps margin reduction); development financial close on a
second-phase 400 MW portfolio in 2031; expansion into the SADC region
(Botswana, Zambia, Namibia) from 2033; and the assessment of an exit /
liquidity event via either YieldCo IPO, infrastructure-fund
recapitalisation, or strategic sale by 2036.
