Vulcan Flame Grill Holdings (Pty) Ltd is a special-purpose operating
company incorporated in South Africa to build and manage a portfolio of
premium flame-grilled quick-service restaurants. It is conceived from
inception as an institutional-grade platform — governed, reported and
capitalised to standards that exceed those of a typical owner-operated
franchise.

Legal & corporate structure
The Company will be established as a private company (Pty) Ltd under
the South African Companies Act, 2008. Each restaurant will be held in
the operating company (or, where lender or tax structuring requires, in
ring-fenced subsidiaries), with a central management company providing
shared services. Individual Steers franchise agreements will be
concluded with Famous Brands for each site, on the franchisor’s standard
terms, including the prevailing royalty and marketing levies.

Leadership requirements
Execution of a multi-unit rollout depends on an experienced operating
team. The Plan assumes the recruitment, ahead of first-store opening, of
a chief executive with multi-unit QSR experience, a financial director,
an operations director and a development/property lead. The strength,
track record and alignment of this team is, in the assessment of this
Plan, the single most important determinant of success and should be a
primary focus of investor due diligence.
As at the date of this Plan, the operating team and definitive
franchise approvals are assumptions rather than secured facts. Investors
should treat the recruitment of a proven multi-unit operator, and
written confirmation of the franchisor’s development pipeline, as
conditions precedent to funding.
