Valuation framework
Exit value is modelled on an EV/EBITDA basis. At the Year 5 base-case
EBITDA of R55m, a 6.0× multiple implies an enterprise value of
approximately R330m, against which residual senior debt is netted to
derive equity value. The exit multiple range of 5.0–7.0× reflects
observed valuations for scaled, governed QSR platforms; Famous Brands
itself has historically traded at higher multiples, providing reference
support at the upper end.
Investor-grade reporting, audited accounts, a strong B-BBEE
contributor level, an experienced management team and a seasoned
portfolio are the attributes acquirers pay premiums for. Each is built
into the platform from inception rather than retrofitted before a sale —
the governance thesis that distinguishes Vulcan from an opportunistic
franchise roll-up.
